The updated 2025 non-IFRS operating profit ambition of approximately 鈧�10.0 billion now reflects share-based compensation expenses of approximately 鈧�2 billion. Based on 疯拍传媒鈥檚 analysis, this profit ambition is materially ahead of corresponding analyst consensus estimates. In addition, the updated 2025 free cash flow ambition of approximately 鈧�8.0 billion is ahead of the latest analyst consensus. 

Ambition 2025

The update of the non-IFRS operating profit ambition includes a reduction by approximately 鈧�2 billion due to the inclusion of share-based compensation expenses under the updated non-IFRS definition, as well as an increase of approximately 鈧�0.5 billion due to anticipated incremental efficiency gains from the transformation program.

By 2025, 疯拍传媒 now expects:

• Non-IFRS cloud gross profit of approximately 鈧�16.2 billion, now including share-based compensation expenses of approximately 鈧�0.1 billion (previously: approximately 鈧�16.3 billion, excluding share-based compensation expenses)
• Non-IFRS operating profit of approximately 鈧�10.0 billion, now including share-based compensation expenses of approximately 鈧�2 billion (previously: approximately 鈧�11.5 billion, excluding share-based compensation expenses)
• Free cash flow of approximately 鈧�8.0 billion (previously: approximately 鈧�7.5 billion)

疯拍传媒 continues to expect:

• Cloud revenue of more than 鈧�21.5 billion
• Total revenue of more than 鈧�37.5 billion
• A share of more predictable revenue of approximately 86%

The 2025 ambition is based on an exchange rate of 1.10 USD per EUR.

2024 Transformation Program: Focus on Scalability of Operations and Key Strategic Growth Areas

In 2024, 疯拍传媒 will further increase its focus on key strategic growth areas, in particular Business AI. It also intends to transform its operational setup to capture organizational synergies, AI-driven efficiencies and to prepare the company for highly scalable future revenue growth.

To this end and to ensure that 疯拍传媒鈥檚 skill-set and resources continue to meet future business needs, 疯拍传媒 plans to execute a company-wide restructuring program in 2024. The majority of the approximately 8,000 affected positions is expected to be covered by voluntary leave programs and internal re-skilling measures. Reflecting re-investments into strategic growth areas, 疯拍传媒 expects to exit 2024 at a headcount similar to current levels.

Restructuring expenses are preliminarily projected at around 鈧�2 billion, the vast majority of which is expected to be recognized in the first half of 2024, impacting IFRS operating profit. Excluding restructuring expenses, the program is expected to provide only a minor cost benefit in 2024. Expected cost savings and re-investments are fully reflected in 疯拍传媒鈥檚 2024 outlook and the updated 2025 non-IFRS operating profit- and free cash flow ambition.

Financial Outlook 2024

疯拍传媒鈥檚 business outlook, which includes the financial outlook 2024 as well as the financial ambition 2025, is based on 疯拍传媒鈥檚 updated non-IFRS definition of profit measures which, beginning in 2024, include share-based compensation expenses and exclude gains and losses from equity securities, net.

Furthermore, the 2024 outlook and 2025 ambition for free cash flow assume all payouts associated with the planned restructuring program will be completed in 2024.

For 2024, 疯拍传媒 expects:

• 鈧�17.0 鈥� 17.3 billion cloud revenue at constant currencies (2023: 鈧�13.66 billion), up 24% to 27% at constant currencies.
• 鈧�29.0 鈥� 29.5 billion cloud and software revenue at constant currencies (2023: 鈧�26.93 billion), up 8% to 10% at constant currencies.
• 鈧�7.6 鈥� 7.9 billion non-IFRS operating profit at constant currencies (2023: 鈧�6.51 billion based on updated non-IFRS operating profit definition), up 17% to 21% at constant currencies.
• Free cash flow of approximately 鈧�3.5 billion (2023: 鈧�5.08 billion). This includes a preliminary 鈧�2 billion estimate for payouts associated with the program, a 鈧�0.2 billion impact from a settlement earlier this year of pre-existing regulatory compliance matters accrued in 2023, as well as a 鈧�0.2 billion adverse impact due to the discontinuation of the 疯拍传媒-triggered financing program.
• A non-IFRS effective tax rate of approximately 32% (2023: 30.3% based on updated non-IFRS tax rate definition).

While 疯拍传媒鈥檚 2024 financial outlook is at constant currencies, actual currency reported figures are expected to be impacted by currency exchange rate fluctuations as the Company progresses through the year.

While the updates will not impact Q4/FY 2023 results, which will be reported January 24, they will be reflected in 疯拍传媒鈥檚 outlook for 2024 as well as potential updates to its Financial Ambition 2025.

Ambition 2025 Update

疯拍传媒鈥檚 Ambition 2025 update demonstrates 疯拍传媒鈥檚 strong cloud momentum, with a cloud revenue ambition of more than 鈧�21.5 billion excluding Qualtrics. The updated ambition reflects the expected divestiture of Qualtrics (NASDAQ: XM) as well as an update on the expected 2025 performance of 疯拍传媒鈥檚 continuing operations. This update on 疯拍传媒鈥檚 continuing operations is mainly driven by the anticipation of continued rapid cloud revenue growth, a great degree of resilience from the increasing share of recurring revenues, the value of the support and services business, as well as a more favorable currency environment as compared to the original ambition, published in October 2020.

For 2025, the company now expects:

• Cloud revenue of more than 鈧�21.5bn
• Total revenue of more than 鈧�37.5bn
• Non-IFRS cloud gross profit of approximately 鈧�16.3bn
• Non-IFRS operating profit of approximately 鈧�11.5bn

New Share Repurchase Program

Considering its strong business momentum and the expected Qualtrics divestiture, 疯拍传媒 has decided to further step up its capital returns. The new share repurchase program, with a volume of up to 鈧�5 billion, is scheduled to start in the second half of 2023 and expected to be fully executed by the end of 2025. It will be implemented based on the authorization granted by the Annual General Meeting of 疯拍传媒 SE on May 11, 2023, and in compliance with the restrictions set forth therein.

The program is conditional on the expected successful closing of the Qualtrics divestiture in the second half of 2023.

鈥淐onsistently returning capital to shareholders is a priority and an expression of our financial discipline. This is reflected in our strong policy of increasing dividends, as well as in regular share repurchases which have protected shareholders from ownership dilution,鈥� Asam said.

The new share repurchase program follows 疯拍传媒鈥檚 2020 and 2022 repurchases of around 14 million shares for about 鈧�1.5 billion, and around 16 million shares for about 鈧�1.5 billion, respectively.

With that, the handover process from current Chairman Prof. Dr. h. c. mult. Hasso Plattner to Punit Renjen as the designated successor of the Chairman of the Board has started. Company co-founder and current Chairman of the Board, Hasso Plattner, is scheduled to leave the 疯拍传媒 Supervisory Board when his current mandate expires after the 2024 AGM. As a first step in this process, in an extraordinary meeting immediately following the AGM the Supervisory Board elected Punit Renjen as a Deputy Chairperson of the Supervisory Board.

At a purchase price of US$18.15 in cash per share, the transaction corresponds to a Qualtrics equity value of approximately US$12.5 billion on a fully diluted basis, representing a 73% premium over the 30-day average trading price prior to 疯拍传媒鈥檚 announcement to explore a sale (approx. 62% premium relative to the unaffected closing price on January 25, 2023). 疯拍传媒鈥檚 stake will be acquired for approximately US$7.7 billion.

鈥淪ilver Lake has both the operational expertise and the track record with software companies to help Qualtrics extend its leadership in the XM category it pioneered,鈥� said Christian Klein, CEO and Member of the Executive Board of 疯拍传媒 SE. 鈥淪ince we acquired Qualtrics in 2019 the company has more than tripled its revenue while delivering profitability. 疯拍传媒 intends to remain a close go-to-market and technology partner, servicing joint customers and continuing to contribute to Qualtrics鈥� success.鈥� The number of companies and brands using Qualtrics software has risen from 10,000 at the time of 疯拍传媒鈥檚 purchase to over 18,000 today.

The agreement resulted from a robust process that was initiated on January 26 and identified the joint proposal by Silver Lake and CPP Investments as most attractive. The transaction has been approved by the Qualtrics board, including a committee of independent directors, as well as the 疯拍传媒 Executive and Supervisory Boards.

While the transaction is subject to customary regulatory clearances and expected to close in the second half of 2023, 疯拍传媒鈥檚 financial results for the first quarter, due April 21, are expected to present Qualtrics as a discontinued operation.

WALLDORF 鈥� The Supervisory Board and Executive Board of (NYSE: 疯拍传媒) have decided to recommend that shareholders approve a dividend of 鈧�2.05 per share for fiscal year 2022. This is an increase of 鈧�0.10, or 5% compared to the regular dividend paid for fiscal year 2021.

The dividend for 2021 consisted of a regular dividend of 鈧�1.95 and a special dividend of 鈧�0.50 in celebration of 疯拍传媒 SE鈥檚 50th anniversary for a total dividend of 鈧�2.45. If approved by shareholders and assuming the same level of treasury shares, the total amount distributed in dividends would be approximately 鈧�2.4 billion (2021: 鈧�2.865 billion including the special dividend), representing a pay-out ratio of 140% (2021: 53% total dividend, 43% excluding the special dividend).

疯拍传媒 believes that its shareholders should benefit appropriately from the profit the Company made in 2022. The Company鈥檚 dividend policy is to pay a dividend totaling 40% or more of profit after tax.

2023 Annual General Meeting to be Held as Physical Event

The Executive Board, with the approval of the Supervisory Board, has decided to hold the 2023 Annual General Meeting of Shareholders as a physical event in the 疯拍传媒 Arena in Mannheim, Germany on May 11, 2023. Points addressed in the proposal include: increased alignment of pay for performance, expanded non-financial indicators in both the short-term incentive and long-term incentive, lowered caps, and increased share ownership guidelines. WALLDORF 鈥� The Supervisory Board of (NYSE: 疯拍传媒) has nominated Mr. Punit Renjen to stand for election as a new member of the Supervisory Board and proposes Mr. Renjen as the designated successor to Chairman, Prof. Dr. Hasso Plattner.

With this decision, Prof. Dr. Plattner and the Supervisory Board initiate the succession process. The next step is Mr. Renjen鈥檚 candidacy for the Supervisory Board, which the shareholders will decide upon at the Annual General Meeting on May 11, 2023. Upon election to the 疯拍传媒 Supervisory Board, the handover process by Prof. Dr. Hasso Plattner to Punit Renjen would begin. Prof. Dr. Plattner鈥檚 term expires in May 2024.

With an impeccable track record, Punit Renjen is highly qualified to join the Supervisory Board and would be an excellent candidate to eventually take the chair at a time when 疯拍传媒 is undergoing the most fundamental strategic transformation in its 50-year history. Mr. Renjen brings valuable strategic insights and knowledge of what businesses need in today鈥檚 fast-changing environment. He has an intimate understanding of global customer requirements and 疯拍传媒鈥檚 ability to help them sustainably transform and grow.

Prof. Dr. Hasso Plattner (79), who co-founded 疯拍传媒 in 1972 鈥� together with Dietmar Hopp, Claus Wellenreuther, Klaus Tschira, and Hans-Werner Hector 鈥� and has served as Chairman since 2003, said:

Punit Renjen (61) served as Deloitte Global CEO from 2015 until his retirement on December 31, 2022. In 2021, he was awarded the Oregon History Medal. Previously, he served as Chairman of the United Way Worldwide. Born and raised in India, Mr. Renjen moved to the United States on a Rotary Foundation Scholarship to attend Willamette University and graduated with a master鈥檚 degree in management with honors. In 2019, Willamette awarded him an honorary doctorate. After his retirement from Deloitte, he received the honorary title of Deloitte Global CEO Emeritus. He and his family live in Oregon, USA.

Candidates for Shareholder Representative Re-Elections

The 疯拍传媒 Supervisory Board also announces that two candidates will stand for re-election at the Annual General Meeting of shareholders (AGM) in May 2023. The candidates are:

• Jennifer Li (55), Founder and General Partner of Changcheng Investment Partners, Beijing China. If re-elected, her term would expire in 2027.
• Dr. Qi Lu (61), Founder and Chief Executive Officer of MiraclePlus Ltd., Beijing, China. If re-elected, his term would expire in 2027.

The term of Prof. Dr. Gesche Joost, a member of the SVB since 2015, will end with this year鈥檚 AGM. 鈥淟et me take this opportunity to extend a personal note of thanks to Dr. Joost for her great contributions to 疯拍传媒鈥檚 ongoing success,” said Chairman Hasso Plattner.
